DEXTRONIX, INC. TERMS AND CONDITIONS OF SALE
THIS AGREEMENT GOVERNS YOUR PURCHASE OF PRODUCTS FROM DEXTRONIX, INC. (hereafter: Dextronix). PLEASE READ IT CAREFULLY. ADDITIONAL TERMS MAY APPLY FOR RENTING/LEASING PRODUCTS FROM DEXTRONIX AND OR PRODUCTS AND SERVICES PURCHASED FROM DEXTRONIX SUBSIDIARIES. BY SUBMITTING YOUR ORDER, YOU ARE AGREEING TO THESE TERMS.
1. PLACING ORDERS: All orders or inquiries should be addressed to “Dextronix - Attention: Customer Service” through any of the following methods:

c. Please order using Dextronix product identification number (SKU) and description.
d. Product packaged in multi-unit packages must be ordered as such.
2. PRICES:
a. All prices are listed in the currency shown on the Dextronix websites and/or quotation or invoice.
b. All prices are subject to change without notice.
c. Quotations expire after 30 days.
3. PAYMENTS and PAYMENT METHODS:
a. Payments must be made in the currency stated on the Dextronix invoice.
b. Accepted currencies: USD, EUR, CAD, GBP, AUD, NZD. Currency use is limited to the Buyer’s delivery country.
c. Dextronix accepts the following payment methods: USA, Canada only: paper checks, ACH, wire transfer, credit cards. International: Credit cards, Wise, wire transfer.
4. SALES TERMS:
a. All sales are final.
b. Dextronix reserves the right to make changes to these terms and conditions anytime and without notice.
c. All orders require Dextronix acceptance and are governed only by these terms and conditions.
d. All international orders must be prepaid, unless otherwise agreed in writing.
e. Past due invoices accrue interest at 3.0% per month or the maximum rate allowed by law, whichever is lower.
f. If collection proceedings are required, the Buyer agrees to pay all reasonable attorney fees and costs incurred by Dextronix in collecting past due accounts.
5. LIMITATION OF SALES: U.S. Federal Law restricts implantable devices to sale by or on the order of a licensed veterinarian. Dextronix reserves the right to limit sales of its products to the End-user. End-user means the veterinary hospital, clinic, university, college, veterinarian, or its employer using the Dextronix products. By accepting the Dextronix General Terms and Conditions of Sale at time of ordering, the Buyer confirms to be the End-user. Our products are not for resale, unless otherwise agreed to in writing.
6. PRODUCT CHANGES: Dextronix reserves the right to discontinue, change or alter the specifications of any of its products without notice.
7. PRODUCT SAMPLES AND DEMONSTRATORS: Demonstration products, sterile and non-sterile, may be provided on request. No warranty applies to demonstration or free-of-charge samples.
8. DELIVERY: Listed products follow standard Dextronix delivery times. Delivery times are estimates, not guarantees, and depend on timely receipt of Buyer provided information and Dextronix freight carrier scheduling.
9. SHIPPING, HANDLING AND RISK OF LOSS: Product prices do not include shipping and handling fees, which are charged separately. All landing costs (custom brokerage charges, import tariff fees, import taxes) on international shipments will be paid by Dextronix and then charged back to the Buyer separately. Dextronix selects all freight carriers and shipping methods at its discretion. Dextronix carries global cargo insurance, and all outbound shipments are fully insured by us for loss or damage. Buyer assumes all risks for products returned in transit.
10. ORDER DISCREPANCIES: Claims for delivery shortages or incorrect products must be made within 5 days of receipt. After this period, goods are deemed accepted. For return transit damage, see Section 9.
11. NO MODIFICATION TO PRODUCTS: Any modification or alteration to a product or off label use by the Buyer voids all Dextronix warranties.
12. CANCELLATION OR DEFERRED DELIVERY: Certain Dextronix products are custom or made-to-order or maybe out of stock at time of order placement. Cancellations require Dextronix written consent and for custom or made-to-order products payment of reasonable charges, including: a) Completed work at full unit price. b) Work in progress, at cost plus overhead and applicable profit. c) Raw materials and purchased parts at cost plus handling fees. d) Unamortized tooling balance due. e) Other direct expenses or overhead to the related order. Requests to defer delivery may, at Dextronix’s discretion, be treated as cancellations, with the same charges applied.
13. RETURN GOODS POLICY: Returns must be authorized by Dextronix and require the completion of the official Dextronix Warranty Claim form. Returned goods: a) must be in original, intact packaging. b) Sterile products must be in sterile condition. c) Are subject to restocking fees. d) May only be exchanged for product. e) Must be returned at Buyers expense.
14. ADDITIONAL COSTS FOR CUSTOM AND MADE-TO-ORDER PRODUCTS: Buyer must reimburse Dextronix for any added costs caused by Buyer-requested changes to product specifications, designs, or configurations.
15. FORCE MAJEURE: Dextronix is not liable for delays or failures due to causes beyond its control, including but not limited to: acts of God, Buyer actions, fire, flood, epidemics, war, sabotage, or government action.
16. GENERAL AGREEMENT: These terms apply to all transactions with Dextronix and are governed by Oregon law (USA). Any deviations are valid only if approved in writing. Buyer terms that conflict with these are inapplicable.
17. LIMITED WARRANTY AND DISCLAIMER FOR DEXTRONIX INTERVENTIONAL AND IMPLANTABLE DEVICES ONLY:
Subject to the conditions and limitations set forth below, Dextronix warrants that its permanent and temporally implantable products and any product used for medical interventions will be free from defects in material or workmanship while in place in the companion animal in whom it is originally implanted or used. Dextronix will furnish, without charge, a replacement for any product that it determines to have failed to function within normal tolerances because of a defect in materials or workmanship. The responsibility of Dextronix under this Limited Warranty is specifically conditioned upon each of the following conditions being met:
a. The product must have been implanted prior to the "USE BEFORE" date marked on the package.
b. The product was new and unused and has not been implanted before and has not been re-sterilized.
c. The product was purchased from Dextronix or through a Dextronix authorized distributor.
d. The product has not been damaged or altered by improper handling, use or placement.
e. The explanted product must be returned to Dextronix within thirty (30) days after removal from the patient and must be accompanied by data documenting the failure of the product. In the event the removal of the implant is impractical, Dextronix will accept alternative objective evidence of failure such as photographs or x-ray imagery.
f. The replacement product must be a product supplied by Dextronix.
g. All claims must be submitted by completing the respective Dextronix Warranty Claim Form.
THIS LIMITED WARRANTY IS IN LIEU OF ANY OTHER WARRANTY EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF FITNESS FOR A PARTICULAR USE, WHICH ARE SPECIFICALLY DISCLAIMED, EXCEPT AS EXPRESSLY PROVIDED IN THIS LIMITED WARRANTY. DEXTRONIX, INC. SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY DIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES CAUSED BY DEVICE MALFUNCTION, FAILURE, OR DEFECT, WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT, OR OTHERWISE.
18. LIMITED WARRANTY AND DISCLAIMER FOR DEXTRONIX EQUIPMENT INCLUDING HEART MONITOR DEVICES ONLY: Dextronix warrants its equipment and heart monitoring product against defects in material or workmanship for two (2) years form date of purchase. Detachable cables are excluded. This limited warranty does not cover loss, negligence, user error, or damage inflicted by animals. This limited warranty applies only if each of the following conditions are met:
a. The product was designed or manufactured or distributed by Dextronix or an authorized reseller.
b. The product has not been mishandled, reprocessed, or altered in any way.
c. The failed product is returned to Dextronix and becomes the property of Dextronix, unless instructed otherwise.
No representation or warranty is made that a Dextronix product will not fail. Dextronix disclaims responsibility for any veterinary medical complication, including death of the companion animal, resulting from the use of its products. Except as expressly provided by this limited warranty, Dextronix is not responsible for any direct, incidental, or consequential damages based on any defect, failure, or malfunction of its products whether the claim is based on warranty, contract, tort, or otherwise. Some US states do not allow the exclusion or limitation or consequential damages and so the above limitation or exclusion may not apply to your organization. Except as expressly provided by the limited warranty, Dextronix, Inc. makes no warranty, express or implied, including but not limited to, any implied warranty or fitness for a particular purpose.
19. WARRANTY DISCLAIMER FOR ALL OTHER DEXTRONIX PRODUCTS EXCEPT RENTAL/LEASE/DEMO PRODUCTS (PLEASE SEE SEPARATE TERMS FOR RENTAL/ LEASE / DEMO PRODUCTS): FOR ALL OTHER PRODUCTS, EXPRESSED OR IMPLIED, WARRANTIES ARE HEREBY DISCLAIMED INCLUDING ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE. No person has the authority to bind Dextronix to any representation or warranty in connection with the use of its products. Dextronix will not be responsible for veterinary medical expenses, any direct, consequential, or incidental damages arising out of the purchase, use, removal, or replacement of a Dextronix product.
20. PRODUCT ANALYSIS, REMEDIAL ACTION: Dextronix may, at its discretion, analyze returned products suspected of nonconformance or failure. Dextronix reserves the exclusive right to determine and communicate any necessary remedial actions in compliance with law.
21. STORAGE AND HANDLING: Implantable products are supplied sterile and non-pyrogenic. Buyer agrees to store products in a controlled environment - cool, dark, and dry. Do not use product if sterile packaging is damaged, or if the sterility indicator on the sterile pouch has turned color (from yellow to red/brown). Do not expose product/packaging to organic chemical solvents or fumes.
22. GENERAL WARNING: All Dextronix products are - for veterinary use only - in companion animals (pets). They are excluded from human use and Dextronix refuses any responsibility for misuse or misbranding of its products. All Dextronix implantable products are for single use only and Dextronix refuses any responsibility for the consequences of re-use and/or re-sterilization of its implantable products. In addition, Dextronix's implantable and interventional products are used or implanted in an extremely hostile environment of the companion animal body. The implanted products may fail to function for a variety of causes not limited to medical complications, body rejection phenomenon, allergic reaction, fibrotic tissue, mechanical fatigue, and wear out due to mechanical induced stress during usage. Implantable pacing leads and metal stents may fail by fracturing over time. Implantable products may be damaged before, during, or after insertion by improper handling, placement, other intervening acts and/or wear and tear during use. Consequently, no guarantee is made that failure will not occur, or that complications will not result.
23. INTELLECTUAL PROPERTY: To the best of Dextronix’s knowledge, its veterinary products do not infringe upon any third party patent, copyright, or trade secret.
24. GOVERNING LAW: All contracts and orders with Dextronix are governed by the laws of the State of Oregon, USA. Any order placed or contract made with Dextronix shall be governed by the laws of the state of Oregon, USA. All trademarks belong to Dextronix, Inc.
